The road to the mammoth media merger has been rocky for Paramount, which secured a deal in February after a months-long battle with Netflix over WBD. Netflix, one of the biggest players in the streaming space, had also expressed interest in acquiring WBD, raising competition and expectations for the eventual deal.

What problems did Paramount face leading up to the acquisition?

The merger has since faced criticism from both lawmakers and Hollywood talent over the negative effects of concentration media. Concerns center primarily on the fact that the concentration of power in a few companies could limit the variety of content and reduce opportunities for independent creators. In addition, there are fears that the merger could lead to price increases for consumers, as fewer companies would control a larger share of the market.

Paramount cleared the last major hurdle last month, reaching an agreement with 12 states that had sued to block the deal over antitrust. The agreement requires Skydance to release a minimum number of films over the next five years, starting with 30 in the first two years. It must also spend at least $300 million more on production in the U.S. than the companies spent last year combined.

These commitments are intended to ensure that the merger will not lead to a reduction in content production and to strengthen the American economy through increased investment in the production sector.

David Ellison will lead Skydance alongside Ynon Kreiz, the former chairman and CEO of Mattel. The selection of Ellison, who has already established himself as one of the most successful producers in Hollywood, demonstrates the new company’s commitment to continuing to invest in high-quality content. Kreiz, with his experience at Mattel, brings a different perspective, focusing on developing innovative strategies to promote and leverage content.
