Playtika is acquiring SuperPlay, a mobile gaming company in Israel, for a price between $700 million and $1.95 billion.

The price of Playtika's acquisition of SuperPlay, maker of the Dice Dreams and Domino Dreams games, will depend on the achievement of financial targets over three years, with the total value reaching $1.95 billion.

This move signals a revival in mobile game acquisition activity. SuperPlay, founded in 2019 by former Playtika employees, has already emerged with two successful titles and is looking to bolster the Playtika team with its experience in developing new games.
Playtika CEO Robert Antokol said the acquisition will strengthen the company’s position in mobile gaming and create new opportunities. SuperPlay is developing two other games, while Gilad Almog and Eyal Netzer will continue to lead their team as a standalone studio. They expressed their excitement about this partnership, highlighting their team’s creativity and passion for producing engaging games.

Strategic and economic benefits
Playtika announced the acquisition of SuperPlay for $700 million, with an upfront payment and working capital adjustments to be funded from cash on the balance sheet. The agreement includes an additional amount of up to $1.25 billion, which is conditional on SuperPlay achieving financial targets for 2025, 2026 and 2027. Playtika emphasizes that the deal will strengthen its growth and earnings structure, while reducing risks. The company maintains its commitment to quarterly dividend and capital, and that the transaction has been approved by the boards of directors and is expected to close in the fourth quarter of 2024, subject to regulatory approvals.

Playtika will provide updates on capital allocation and host an investor. Morgan Stanley is acting as financial advisor to Playtika, while SuperPlay is backed by investors including NFX and General Catalyst.
